Merkx Terms of Service

Welcome to Merkx. These Terms of Service ("Terms") govern your use of the Merkx app and related services (the "Service") provided by Chukwuemeka Udemezue ("we", "our", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Merkx is an AI companion app. It provides text and voice conversations with an AI agent trained to be warm, attentive and emotionally present. Merkx is not a licensed therapist, doctor, lawyer or financial advisor. The Service is intended for general companionship, journaling and self-reflection — not for medical, legal or emergency use.

2. Eligibility

You must be at least 13 years old to use Merkx, or the minimum age in your country, whichever is higher. By using the Service you represent that you meet this requirement.

3. Your account

You agree to provide accurate information when creating your account, to keep your login credentials secure, and to notify us promptly of unauthorized access.

4. Subscriptions and payments

• Merkx offers paid subscriptions (the "Companion" tier) for $12.99 USD per month, with a 3-day free trial for new subscribers.
• On iOS, subscriptions are billed through your Apple ID. Payment is charged at confirmation of purchase. The subscription auto-renews monthly unless cancelled at least 24 hours before the end of the current period.
• You can manage and cancel subscriptions in your iOS Settings → Apple ID → Subscriptions.
• No refunds are provided for partial subscription periods, except where required by law or by the platform you purchased through.
• Free-trial periods convert to paid subscriptions automatically unless cancelled before the trial ends.

5. Acceptable use

You agree not to:

• Use Merkx for unlawful purposes or to harass, threaten, or harm others.
• Attempt to extract, reverse-engineer, or scrape the Service.
• Use Merkx to create competing AI products or services.
• Bypass usage limits, rate limits, or security measures.
• Submit content that infringes third-party rights or contains malware.

6. Content and AI responses

Merkx generates responses using third-party AI models. Responses are produced algorithmically and may be inaccurate, inappropriate, or unexpected. Do not rely on Merkx for medical, legal, financial or safety-critical decisions. If you are in crisis, contact local emergency services or a qualified professional immediately.

7. Your content

You retain ownership of the messages, voice recordings and memories you provide to Merkx. By using the Service you grant us a limited license to process your content to operate and improve the Service. We do not sell your content. Conversations are not used to train public AI models.

8. Termination

You may delete your account at any time from inside the app (Profile → Privacy & Security → Delete Account). We may suspend or terminate your account if you violate these Terms or if required by law.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, neither Merkx nor its operator will be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months preceding the claim, or $50 USD, whichever is greater.

11. Changes to the Service

We may add, change, or remove features at any time. We will notify you of material changes when we can.

12. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted at this URL with a new "Last updated" date. Continued use after changes means you accept the new Terms.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Lagos State, Nigeria, except where local consumer-protection laws give you the right to bring a claim in your own jurisdiction.
